Terms for TalkNote.

1. Company identity

TalkNote is a trade name of Chargefield, located at Dokter Spanjaardweg 11, 8025 BT Zwolle, the Netherlands, registered with the Dutch Chamber of Commerce under number 74789007. You can reach us at info@talknote.nl. We usually respond within one business day.

2. Applicability

These terms apply to every offer by TalkNote and to every agreement concluded via talknote.nl, including the purchase of the TalkNote device, accessories and the Premium subscription.

Deviations are only valid if agreed in writing. If any provision proves invalid, the remaining provisions remain in full force. Mandatory consumer law always prevails.

3. Offers and prices

All prices are in euros and include 21% Dutch VAT. Obvious mistakes or errors in an offer, such as a clearly incorrect price, are not binding. Offers are valid while stocks last.

Product images are a true representation; minor colour deviations may occur and do not entitle you to dissolution or compensation.

4. Conclusion of the agreement

The agreement is concluded when you complete your order and we confirm it by e-mail. We may refuse or cancel an order in case of a well-founded suspicion of fraud or abuse, or in case of a stock or pricing error; in that case you will receive a full refund.

5. Payment

Payment is made through the payment methods offered at checkout, including iDEAL and credit card, processed by our payment provider Stripe. The full amount is paid when placing the order. You receive your invoice digitally (PDF) with the order confirmation. See also our payment policy.

6. Delivery

We ship free of charge within the shipping area indicated at checkout. Stated delivery times are indicative; the statutory maximum delivery period is 30 days. If exceeded, you may dissolve the agreement free of charge and we will refund the full amount within 14 days.

7. Right of withdrawal (14-day cooling-off period)

As a consumer you may dissolve the agreement within 14 days of receiving the product without giving any reason. Notify us via info@talknote.nl stating your order number. After your notification you have another 14 days to return the product.

During the cooling-off period you may unpack and assess the product as you would in a shop. If you use it beyond what is necessary to assess it, we may deduct the resulting loss in value from the refund. The direct cost of the return shipment is at your expense. 8. Exceptions to the right of withdrawal

The right of withdrawal does not apply to digital services whose performance began with your express prior consent and your acknowledgement that you thereby waive your right of withdrawal, such as the Premium subscription after activation. The right of withdrawal always applies in full to the device itself.

9. Conformity and warranty

We guarantee that products comply with the agreement and meet reasonable requirements of soundness and usability (statutory conformity warranty). In addition, a 2-year manufacturer warranty applies to manufacturing and material defects. The manufacturer warranty never limits your statutory rights. 10. Premium subscription

The Premium subscription (unlimited AI transcription and summaries) is concluded for one year at the price shown at checkout. The subscription is not tacitly renewed without prior notice; after any renewal you may cancel monthly in accordance with the law. Cancel via info@talknote.nl.

11. Account and app

Some features require an account in the TalkNote app. You warrant that the information provided is accurate and up to date, keep your credentials confidential and are responsible for activities under your account. If you suspect misuse of your account, report it immediately via info@talknote.nl.

The service is not intended for children under 16 without the consent of a parent or guardian.

12. Availability of the service

We make every effort to keep the app, synchronisation and AI features continuously available, but do not guarantee uninterrupted or error-free operation. Maintenance, updates or failures at suppliers may temporarily limit the service. Where reasonably possible we announce planned major interruptions in advance. This article does not limit your statutory rights in case of non-conformity.

13. AI output

Transcriptions, summaries, action items and other AI output are generated automatically and may contain inaccuracies or omissions. AI output is a tool and not a substitute for professional advice (for example legal, medical or financial). Verify output before using it for important decisions; no rights can be derived from AI output.

14. Responsible recording and acceptable use

You are responsible for lawful use of the device. Recording conversations is subject to legal rules that differ per country. Inform conversation partners where legally required and never use TalkNote for covert or unlawful recording. We accept no liability for use in violation of laws or regulations.

It is furthermore not permitted to use the service for unlawful purposes, to disrupt its operation, to circumvent security measures or to query the service in an automated manner without our consent. In case of abuse we may suspend or terminate access to the service.

15. Liability

Our liability is limited to the amount you paid for the product or service concerned, except where mandatory law provides otherwise. We are not liable for indirect damage such as consequential loss, lost profit or loss of data, unless caused by our intent or deliberate recklessness. Nothing in these terms limits our liability where it cannot legally be limited.

Please export or back up important notes and recordings regularly.

16. Intellectual property

All rights to the software, firmware, apps, brand names, texts and design of TalkNote belong to Chargefield or its licensors. You receive a personal, non-transferable and non-exclusive right to use the software with the device. Reverse engineering is not permitted, except to the extent allowed by law.

17. Changes to these terms

We may amend these terms. Material changes will be announced at least 30 days in advance via the website or by e-mail. Orders already placed remain subject to the terms applicable at the time of ordering. If, as a subscriber, you do not agree with a material change, you may cancel the subscription before the change takes effect.

18. Complaints and disputes

Complaints can be submitted via info@talknote.nl. We respond substantively within 14 days. If we cannot resolve it together, as an EU consumer you can also use the European ODR platform for online dispute resolution (ec.europa.eu/consumers/odr).

Dutch law applies to all agreements. Disputes are submitted to the competent Dutch court, without prejudice to mandatory provisions designating another court.
